Transportation Components, Inc. Completes Initial Public Offering

    HOUSTON--June 19, 1998--Transportation Components, Inc. , also known as TransCom USA, announced today the initial public offering of 5,000,000 shares of Common Stock at $8.00 per share. All shares were offered by the Company.
    The offering was lead managed by Bear Stearns & Co. Inc., with BT Alex. Brown and Sanders Morris Mundy as co-managers.
    Net proceeds will be used for the cash portion of the acquisition price of TransCom USA's nine founding companies and reduction of existing debt. The founding companies are: Charles W. Carter Co. of Placentia, CA; Transportation Components Group of St. Paul, MN; Gear & Wheel, Inc. of Orlando, FL; Amparts International, Inc. of Laredo, TX; The Cook Brothers Companies, Inc. of Binghamton, NY; Plaza Fleet Parts of St. Louis, MO; Universal Fleet Supply, Inc. of Fremont, CA; Perfection Equipment Company, Inc. of Oklahoma City, OK; and Drive Line, Inc. of Sunrise, FL.
    TransCom USA is a leading national distributor of replacement parts and supplies for commercial trucks, trailers, and other heavy duty vehicles and equipment. The Company also provides value added services including remanufacturing, vehicle repair, fleet maintenance management, and machine shop services. With over sixty locations in the U.S. and Mexico, TransCom USA's customer base includes common carriers, private and rental fleets, independent repair shops, specialty OEMs and other end users.
